TERMS OF USE

These Terms of Use (Hereinafter "Agreement") is a Legal Contract between You, (hereinafter referred to as "User" or “Administrator” or “Customer”, as defined hereinunder) and Handy Training Technologies Private Limited having its Registered Office at 401/402, 3rd Floor, Nova Goa Building, Dr. Atmaram Borkar Road, Panaji, Goa 403 001 (Hereinafter Referred to as ,“HandyTrain”).

BY DOWNLOADING AND/OR SIGNING IN TO THE PLATFORM YOU ARE CONSENTING TO BE BOUND BY THESE USER TERMS. PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THESE USER TERMS BEFORE YOU USE THE PLATFORM. IF YOU DO NOT ACCEPT ANY OF THE USER TERMS, THEN PLEASE DO NOT USE THE PLATFORM OR AVAIL ANY OF THE SERVICES BEING PROVIDED THEREIN.

YOUR AGREEMENT TO THESE USER TERMS SHALL OPERATE AS A BINDING AGREEMENT BETWEEN YOU AND HANDY TRAINING TECHNOLOGIES PRIVATE LIMITED IN RESPECT OF THE USE AND SERVICES OF THE PLATFORM.

Introduction

These Platform Terms and Conditions (these “Terms” or these “Platform Terms and Conditions”) contained herein on this platform, shall govern your use of this Platform, including all pages within this Platform (collectively referred to herein below as this “Platform”). These Terms apply in full force and effect to your use of this Platform and by using this Platform, you expressly accept all Terms and Conditions contained herein in full. You must not use this Platform, if you have any objection to any of these Platform Terms and Conditions. This Platform is not for use by any minors (defined as those who are not at least 18 years of age), and you must not use this Platform if you a minor. Platform for the purpose of these Terms shall include HandyTrain's Website and all of its sub-domains, sub-pages, HandyTrain's Web Application, HandyTrain's Mobile Applications (Android and iOS) and any other platform owned by HandyTrain.
Intellectual Property Rights

Other than content you own, which you may have opted to include on this Platform, under these Terms, HandyTrain and/or its licensors own all rights to the intellectual property and material contained in this Platform, and all such rights are reserved. You are granted a limited license only, subject to the restrictions provided in these Terms, for purposes of viewing the material contained on this Platform.
Restrictions

You are expressly and emphatically restricted from all of the following:
1. publishing any Platform material in any media;
2. selling, sublicensing and/or otherwise commercializing any Platform material;
3. publicly performing and/or showing any Platform material;
4. using this Platform in any way that is, or may be, damaging to this Platform;
5. using this Platform in any way that impacts user access to this Platform;
6. using this Platform contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the Platform, or to any person or business entity;
7. engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Platform, or while using this Platform;
8. using this Platform to engage in any advertising or marketing; Certain areas of this Platform are restricted from access by you and HandyTrain may further restrict access by you to any areas of this Platform, at any time, in its sole and absolute discretion. Any User ID and Password you may have for this Platform are confidential and you must maintain confidentiality of such information.
No Warranties

This Platform is provided “as is,” with all faults, and HandyTrain makes no express or implied representations or warranties, of any kind related to this Platform or the materials contained on this Platform. Additionally, nothing contained on this Platform shall be construed as providing consult or advice to you.
Limitation of Liability

In no event shall HandyTrain, nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this Platform, whether such liability is under contract, tort or otherwise, and HandyTrain including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Platform. In no event shall HandyTrain assume or be deemed to have any responsibility or liability for any content posted, or for any claims, damages or losses resulting from use of any such content and/or the appearance of any content on the Platform.
Indemnification

You hereby indemnify to the fullest extent HandyTrain from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney's fees) arising out of or in any way related to your breach of any of the provisions of these Terms.
Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.
Variation of Terms

HandyTrain is permitted to revise these Terms at any time as it sees fit, and by using this Platform you are expected to review such Terms on a regular basis to ensure you understand all Terms and Conditions governing use of this Platform.
Assignment

HandyTrain shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
Entire Agreement

These Terms, including any legal notices and disclaimers contained on this Platform, constitute the entire agreement between HandyTrain and you in relation to your use of this Platform, save and except otherwise provided, supersede all prior agreements and understandings with respect to the same.
Governing Law & Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the State of Goa (India), and you submit to the non-exclusive jurisdiction of the state and federal courts located in Goa for the resolution of any disputes.
Term and Termination
1. Unless terminated in accordance with this Clause, these User Terms constitute a legally valid and binding agreement between HandyTrain and You and is perpetual in nature upon accessing the Platform.
2. You are entitled to terminate the User Terms at all times by permanent deletion of your account on the Platform by making a request to [email protected], thus disabling the use by you of the Platform and the Service.
3. These User Terms shall be automatically terminated without any notice or action, if the master services agreement or master subscription agreement, as the case may be, entered by You with us is terminated.
4. HandyTrain is entitled to terminate the agreement at all times and with immediate effect for convenience without assigning any reason whatsoever. Additionally, HandyTrain is entitled to terminate the agreement at all times and with immediate effect (by disabling Your use of the Platform and the Service) if You: (a) breach any term of these User Terms, or (b) in the opinion of HandyTrain, misuse the Platform or the Service. HandyTrain is not obliged to give notice of the termination of the agreement in advance. After termination HandyTrain will give notice thereof in accordance with these User Terms.
5. Termination of this agreement will not prejudice accrued rights of either HandyTrain or You.
6. Clauses such as (Indemnification), (Liability), (Term and Termination), (Governing Law and Jurisdiction) shall survive the expiry/termination of these User Terms in accordance with their terms.
HandyTrain Communication Policy

By accessing any of HandyTrain's Platforms such as its Website, Blog, Web Application, Android Application and/or iOS Application, You hereby explicitly agree and consent to receiving inbound telephone calls, autodialed and/or pre-recorded message calls, SMSs (via Transactional and/or Promotional route), and Notifications on the telephone number and/or E-mail ID provided by you or your Employer to HandyTrain. Such communication shall be in accordance with HandyTrain's Privacy Policy.

You expressly agree that notwithstanding anything contained hereinabove, You may be contacted by HandyTrain and/or any of its affiliates / partners relating to any service availed of by you.
IP OWNERSHIP AND RESTRICTIONS

You shall ensure that You take sufficient precaution while uploading Content to the Platform. You shall ensure that the data uploaded by You or by HandyTrain's representatives, at Your written request is owned by You. Any Content that is not owned by You shall not be uploaded on the Platform, so as to avoid any third party claims. If a third party makes a claim of infringement or illegal use of its data, then HandyTrain will have no responsibility on the subject, kind of content, including but not limited to text, images, videos, surveys, assessments, etc., available on the Platform. Furthermore, You undertake not to use the Services in any manner which may result in the infringement of any third party's IP or to use the Services in any other manner incompatible with the purpose intended or in violation of applicable laws.

You expressly agree and acknowledge that HandyTrain has no obligation to monitor the materials posted on the Platform, but that it has the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms. Notwithstanding this right, You remain solely responsible for the content of the materials posted on the Platform.
